PROposal:
This User License Agreement and Non-Disclosure Agreement (collectively, the "Agreement") is entered into between doja ("Company," "we," "us," or "our") and the user of our services ("User"). This Agreement governs the use of our products and services (collectively, the "Service") and the confidentiality obligations of the User. By accessing or using the Service, the User agrees to be bound by the terms and conditions of this Agreement.
License Grant and Term Subject to the terms and conditions of this Agreement, doja grants the User a limited, non-exclusive, non-transferable, and revocable license to use the Service for personal or internal business purposes for a period of twelve (12) months from the date of activation (the "License Term"). At the end of the License Term, the User may renew the license subject to the then-current terms and conditions.
30-Day Grace Period Upon delivery of the first PROposal, the User will have a 30-day grace period to evaluate the output of the tool. During this period, the User may choose to discontinue the service without being bound to the full 12-month License Term. If the User decides to continue using the Service after the 30-day grace period, they will be committed to the remainder of the 12-month License Term. To discontinue the service within the grace period, the User must notify doja in writing at subscriptions@dojagroup.com before the end of the 30-day period.
Restrictions The User agrees not to: a) Copy, modify, or create derivative works of the Service; b) Reverse engineer, decompile, or disassemble the Service; c) Rent, lease, lend, sell, sublicense, or redistribute the Service; d) Use the Service for any illegal or unauthorized purpose; e) Violate any applicable laws or regulations in connection with the use of the Service; f) Use the Service beyond the 12-month License Term without renewal.
Intellectual Property The Service and its entire contents, features, and functionality are owned by doja and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
User Content Users retain all rights to any content they submit, post, or display on or through the Service ("User Content"). By submitting User Content, the User grants doja a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute the User Content in any existing or future media.
API and Automation Costs 6.1 Third-Party API Costs The User is responsible for paying for their own ChatGPT API and Perplexity API usage. doja will assist in setting up these API connections, but all associated costs are the responsibility of the User.
6.2 Make Automation doja will cover the cost of Make automation for the first 100 insights generated. After this initial allowance: a) An additional fee of 4 pence (£0.04) per proposal will be charged. b) This additional fee will be billed separately and is not included in the initial license fee.
Privacy Use of the Service is also governed by our Privacy Policy, which is incorporated into this Agreement by reference.
Non-Disclosure Agreement 8.1 Confidential Information "Confidential Information" means any information disclosed by doja to the User, either directly or indirectly, in writing, orally or by inspection of tangible objects, which is designated as "Confidential," "Proprietary" or some similar designation, or information which a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure. Confidential Information includes, but is not limited to, the Service, technical data, trade secrets, know-how, research, product plans, products, services, customers, markets, software, developments, inventions, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, finances or other business information.
8.2 Non-use and Non-disclosure The User agrees not to use any Confidential Information for any purpose except to evaluate and engage in discussions concerning a potential business relationship between the User and doja. The User agrees not to disclose any Confidential Information to third parties or to its employees, except to those employees who are required to have the information in order to evaluate or engage in discussions concerning the contemplated business relationship. The User shall not reverse engineer, disassemble or decompile any prototypes, software or other tangible objects which embody the Confidential Information and which are provided to the User hereunder.
8.3 Maintenance of Confidentiality The User agrees that it shall take reasonable measures to protect the secrecy of and avoid disclosure and unauthorized use of the Confidential Information. Without limiting the foregoing, the User shall take at least those measures that it takes to protect its own most highly confidential information and shall ensure that its employees who have access to Confidential Information have signed a non-use and non-disclosure agreement in content similar to the provisions hereof, prior to any disclosure of Confidential Information to such employees.
8.4 Term The obligations of the User under this Section 8 shall survive the termination of this Agreement and shall be binding upon the User's heirs, successors and assigns.
Termination doja may terminate or suspend access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if the User breaches this Agreement. Upon termination, the User's right to use the Service will immediately cease. If the User wishes to terminate this Agreement, they may simply discontinue using the Service. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
Disclaimer of Warranties The Service is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied.
Limitation of Liability In no event shall doja be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from the use of or inability to use the Service.
Governing Law This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
Changes to this Agreement doja reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
